Alpha International is a registered charity (No.1086179) and a private company limited by guarantee incorporated in England and Wales (No. 4157379) whose registered office is situated at Holy Trinity Brompton, Brompton Road, London SW7 1JA ('Licensor').
Licensor has developed a global campaign to promote Alpha and invite people from all over the World to take part in Alpha locally to them wherever they live. Licensor intends to licence the Intellectual Property Rights in its Media Assets to its national Alpha offices and partner organisations throughout the World on the terms and conditions set out below.

1 DEFINITIONS & INTERPRETATION
means a confidential document containing details of the Media Assets
Alpha Brand Principles
means the rules relating to the utilisation of the Alpha brand as set out in the 'Alpha Brand Principles' folder on Alpha Hub as updated from time to time, together with any other guidelines or manuals or similar materials that the Licensor may provide to the Licensee
means the Licensor's digital repository available at alphahub.alpha.org
means a written agreement between the Licensor and the Licensee granting the Licensee the right to use the licensor's brand assets
means those assets intended to be used by churches to promote their Alpha and which form part of the Media Assets
Global Alpha Campaign
means the international advertising campaign owned by the Licensor and licenced to the Licensee under the terms of this agreement comprising the Media Assets and Derivative Products
means work generated or developed under this agreement in either digital or physical format which is based on the Media Assets or an underlying work in relation to these (including translations, musical arrangements, dramatisations, fictionalisations, motion picture versions, sound recordings, art reproductions, abridgements, condensations, or any other form in which a work may be recast, transformed or adapted)
means the period of time commencing on the date of this agreement and terminating on the Permitted Release Date during which time the Media Assets and Derivative Products shall not be released, disclosed, published or otherwise made available to the public at large or section thereof
means those assets intended to be used to publically promote Alpha and which form part of the Media Assets
Intellectual Property Rights
means copyright and related rights, moral rights, trademarks, business names and domain names, rights in get-up, goodwill and the right to sue for passing off, rights in designs, rights in computer software, database rights, rights to use and protect the confidentiality of, confidential information (including know-how), and all other intellectual property rights, in each case whether registered or unregistered and including all applications and rights to apply for and be granted, renewals or extensions of, and rights to claim priority from, such rights and all similar or equivalent rights or forms of protection which subsist or will subsist now or in the future in any part of the world
means the sum of £1 (receipt of which is acknowledged by the Licensor)
means means the period of time commencing on the date of this agreement and terminating exactly one year after the date the Global Alpha Campaign is launched in the Territory or 28 Feburary 2018, whichever occurs soonest
means the party entering into this agreement and to whom the Licensor is willing to grant to a licence on the terms and conditions set out in this agreement
means the elements that form part of the Global Alpha Campaign including Church Assets and Guest Assets
Permitted Release Date
means 1 September 2016
means the advertising, propagation and advancement of Alpha and the Licensor's related ministries in accordance with the Licensor's values and standards
means the country the Licensee operates from or in
No term of this agreement shall be enforceable by a third party under the Contracts (Rights of Third Parties) Act 1999, but this does not affect any right or remedy of a third party which exists or is available apart from under that Act.
If any provision of this agreement is held to be illegal, void, invalid or unenforceable under the laws of any jurisdiction, the legality, validity and enforceability of the remainder of this agreement in that jurisdiction shall not be affected and the legality, validity and enforceability of the whole of this agreement shall not be affected in any other jurisdiction.
This agreement (together with all document referred to in it) constitutes the entire agreement between the parties in relation to its subject matter.
Activation kit shall be released from June 2015 on the condition the Licensee has a valid Brand Licence and has formally agreed to be bound by the terms of this agreement. The Activation Kit is a confidential document that includes confidential content. The Licensee must warrant to keep it confidential at all times during the Embargo Period.
The kit may only be shared with NAOs that have been nominated at the discretion of the relevant regional head.
The kit may not be shared with any other individual or organisation except the Licensee's staff, agents or contractors without the prior written consent of the Campaign Team based in London.
Church Assets shall be released from January 2016. The Licensee may disclose the Church Assets to churches in order to provide access to download, translate and produce materials but these must not be used or seen by the public until the Permitted Release Date.
Guest Assets released from January 2016 in time to send to media buying partners and other such companies and organisations. Guest Assets must not be used or seen by the public until the Permitted Release Date.
